Clarins Instant Beauty Sweepstakes Official Rules

Beginning at 12:01 a.m. Eastern Time ("ET") on 12:00:01 AM ET on September 1, 2008 through 11:59 p.m. ET on 11:59:59 PM ET on November 1, 2008 (the "Sweepstakes Period"), visit www.clarins.com or www.clarinsinstantbeauty.com ("Site") and register for the corresponding sweepstakes & email promotion newsletter by entering your email address, first and last name. Once you complete the registration process, you will automatically receive (1) one entry for the sweepstakes. You must register by 11:59:59 PM ET on November 1, 2008 to be eligible for the drawing. Administrator's computer is the official time keeping device for this Promotion. After registration, you will also have a chance to instantly win a weekly giveaway by referring up to (3) three friends via the refer-a-friend page. Normal Internet access, phone and usage charges imposed by your on-line or phone service may apply.

This promotion is open to legal residents of the 50 United States and District of Columbia, who are (18) eighteen years of age or older as of September 1, 2008. Employees of Clarins, its advertising and promotional agencies, including Brand nKim LLC, and their respective affiliates and subsidiaries, and the immediate family members and people living in the same household of each are not eligible. Void where prohibited and subject to all federal, state and local laws. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of a sweepstakes (the "Sweepstakes") and an Instant Beauty Emergency Kit.

The Sponsor of the Sweepstakes is Clarins, 1 Park Avenue, New York, NY 10006. The Administrator is Brand nKim, LLC, 78 Manhattan Avenue 2K, New York, NY 10025.

The Prizes will be awarded in a random drawing, on or about November 15, 2008, from among all eligible entries received. Drawing will be conducted by Brand nKim, LLC ("Administrator"), whose decisions are final.

Sweepstakes Prize: One (1) Grand Prize consisting of: A trip for two (2) to New York City, New York. The trip package includes roundtrip, coach-class air transportation for (2) from a major airport near winner's home (determined by Sponsor in its sole discretion) to New York, New York (ARV: $1, 600); (3) days and (2) two nights hotel stay determined by Sponsor in its sole discretion (double occupancy) (ARV: $1, 200); dinner for (2) two at Tao Restaurant (ARV: $250) ; and the following treatments at the Clarins Flagship Madison Spa: Facial, body, massage, and Make up Application totaling up to 4 hours (ARV $840). Winner must complete the trip by November 16, 2009 or prize will be forfeited. Trip must be booked at least twenty-one (30) days prior to departure. The flight transportation is subject to availability and blackout dates. Travel must be roundtrip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this sweepstakes, and those set forth by the Sponsor's airline carrier of choice. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to airport fees, meals ground transportation, surcharges, incidentals, passenger tariffs or duties, security fees, service charges or facility charges, personal charges at lodging, taxes or other expenses are the responsibility solely of winner. Unless children of winner, travel companions must be eighteen (18) years of age or older as of the date of departure and must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her state of residence, at least one (1) travel companion must be winner's parent/legal guardian. Travel companions must execute liability/publicity releases prior to issuance of travel documents. Travel restrictions, conditions and limitations may apply. Sponsor will not replace any lost, stolen tickets, or mutilated, travel vouchers or certificates. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.

Sweepstakes Prize: One (1) 2nd place prize consisting of: One year worth of Clarins Make-Up determined by Sponsor in its sole discretion (ARV: $700).

Weekly Giveaway: One (1) per week giveaway of Instant Beauty Emergency Kit (ARV: $200).

Prize is not transferable, redeemable for cash or substitutable except by Sponsor, who reserves the right to substitute prize of comparable or greater value, at its sole discretion. Sponsor reserves the right to substitute any listed prize for one of equal or greater value if the designated prize should become unavailable for any reason. Winner shall be solely responsible for all taxes (including federal, state and local taxes) and any other costs and expenses associated with the acceptance and use of a prize not specified in these rules as being awarded. All prize details (including without limitation, method and location of delivery of the prize), are at Sponsor's sole discretion. Limit one (1) prize per person/email address/household. The odds of winning a prize depend on the number of eligible entries received. If you have won a Grand Prize, you must respond to an email to verify your mailing address to receive your prize.

The Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the promotion at any time or for any reason. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules. Any attempt by any person to deliberately damage Sponsor's Website or undermine the legitimate operation of any of the Contest may be a violation of criminal and civil laws and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of this provision. Acceptance of prize constitutes permission for the Sponsor and its agents' to use winner's name, city and state of residence, likeness, photograph, voice, opinions for purposes of advertising and trade in any and all media now or hereafter known throughout the world in perpetuity, without further compensation, notification or permission, unless prohibited by law.

All potential winners are subject to verification before any prize will be awarded. Limit one entry per person, household, and/or email address. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entry and that entrant may be disqualified. Entries generated by script, macro or other automated or mechanical means are void. All entries become the property of Sponsor and will not be acknowledged or returned. Should Sponsor discover an entrant has provided false information or engaged in fraudulent voting, including, but not limited to, the use of one email address by multiple participants, entrant may be disqualified and may be banned from participating in that and other subsequent contests, which may be decided by Sponsor at its sole discretion. Sponsor will also disqualify any entry from individuals who do not meet the eligibility requirements. Sponsor will also disqualify any entry from individuals who do not meet the eligibility. Sponsor is not responsible for incorrect, inaccurate or incomplete entry of information or for registrations which are lost, late, delayed, misdirected, electronically corrupted, garbled, damaged, incompletely received, otherwise defective or lost due to any reason, all of which will be discarded and declared void. Proof of sending will not be deemed to be proof of receipt by Sponsor. Entrants are not entitled to any compensation or any cash prize in exchange for registering. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

By participating or receipt of this prize, winner (and parent/legal guardian of any entrant who is a minor) agrees to: (i) be bound by these Official Rules and the decisions of the Sponsor and administrators, which are final and binding in all matters; and (ii) release, discharge and hold harmless Sponsor, Clarins, and each of their respective parents, subsidiaries, affiliates and advertising and promotion agencies, and their respective officers, directors, shareholders, employees, agents, attorneys and representatives (collectively, the "Released Parties") from any and all claims and liability whatsoever including, but not limited to, personal injury, death, damage to or loss of property, arising out of participation in the sweepstakes or acceptance of prize. Winners assume all liability for any injury or damage caused, or claimed to be caused, by participation in this promotion or by use or redemption of any prize or by any related activities.

All potential winners are subject to verification by sponsor or administrator, whose decisions are final and binding in all matters related to promotion. Potential weekly instant beauty emergency kit winners will be notified by e-mail and required to respond to such email notification within (10) ten days from the date of such e-mail is sent. The potential Sweepstakes winner will be notified by email after the date of random drawing. Sponsor reserves the right to request a copy of a potential winner's valid driver's license or other valid photo identification satisfactory to Sponsor to verify information provided at time of registration. Failure to comply with this requirement if requested by Sponsor or if information on identification varies from that provided at time of registration, Sponsor may, at its discretion, disqualify such winner. If potential winner is considered a minor in his/her state of residence, prize may be awarded in the name of a parent or legal guardian who will be required to fulfill all requirements imposed on winner set forth herein. Additionally, all potential winners (parent/legal guardian if winner is a minor in his/her state of residence) may also be required to execute and return an Affidavit of Eligibility, Release of Liability and, unless prohibited by law, a Publicity Release within fourteen (14) days of date of issuance. In the event that any e-mail, notification, or correspondence to a potential winner (or parent/legal guardian if any potential winner is a minor in his/her state of residence) is returned as undeliverable or a response is not received within the specified time period, prize may be forfeited and, at Sponsor's discretion, an alternate winner may be selected. Released Parties (as defined above) are not liable for: (i) failed, returned or misdirected notification; or (ii) entries and responses to winner notifications which are lost, late, incorrectly completed, incomplete, illegible, unintelligible, misdirected, damaged or otherwise not received by the intended recipient in whole or in part or for any human, computer, or technical error of any kind. Noncompliance with the requirements set forth herein, the return of the prize or any prize notification as undeliverable or noncompliance with these Official Rules will result in disqualification and, at Sponsor's discretion, an alternate winner will be selected. An entrant or registration is not a winner of any prize, until entrants' eligibility and the potential winner has been verified entrant has been notified that verification is complete.

No substitution or transfer of prize permitted except at the sole discretion of the Sponsor who reserves the right to substitute a prize of equal or greater value in the event a prize is unavailable. In the event of a dispute, entries made by Internet will be deemed made by the authorized account holder of the e-mail address submitted at the time of entry. The "authorized account holder" is deemed the natural person who is assigned to an e-mail address by an Internet access provider, service provider or other online organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. Return of any prize or prize notification as undeliverable may result in disqualification. By participating in this promotion, participants agree to be bound by the Official Rules and the decisions of the sponsor and/or administrator. The Sponsor and its agencies are not responsible for mistranscribed or faulty telephone communication for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in this promotion or by any human error which may occur in the processing of the entries in this promotion. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the drawing or website; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for New York or the appropriate New York state Court located; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
